Neura User Agreement

Effective Date: 2025-04-17

1. Acceptance of Terms

By downloading, accessing, or using the Neura mobile application ("App"), you ("User") agree to be legally bound by this Agreement. If you do not agree to these terms, immediately cease all use of the App.

2. Eligibility

The App is available only to individuals aged 17 years or older. By using the App, you represent and warrant that you meet this age requirement. Neura reserves the right to request proof of age and terminate accounts of underage users without notice.

3. License Grant

Subject to compliance with this Agreement, Neura grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.

4. Prohibited Activities

You agree not to:

• Reverse-engineer, decompile, or modify the App’s code.
• Use the App for illegal activities (e.g., harassment, fraud).
• Circumvent security measures or disrupt service functionality.
• Upload harmful content (e.g., malware, viruses).
• Impersonate others or misrepresent your identity.

5. User-Generated Content

If the App allows content creation (e.g., posts, comments):

• You retain ownership but grant Neura a global, royalty-free license to use, reproduce, and display such content.
• Neura may remove content violating this Agreement or applicable laws.
• You are solely responsible for your content and its legality.

6. Data Privacy

Your use of the App is governed by our Privacy Policy, which details:

• Types of data collected (e.g., device ID, usage analytics).
• How data is used (e.g., service improvement, personalization).
• Sharing with third parties (e.g., analytics providers, advertisers).
• Data retention and deletion rights.
  By using the App, you consent to these practices.

7. Subscriptions & Payments

If the App offers paid features:

• Fees are non-refundable unless required by law.
• Automatic renewals apply to subscriptions unless canceled at least 24 hours before the renewal date.
• Taxes or transaction fees are your responsibility.

8. Disclaimer of Warranties

The App is provided "as is" and "as available." Neura disclaims all warranties, including:

• Fitness for a particular purpose.
• Uninterrupted or error-free operation.
• Accuracy of content or third-party integrations.

9. Limitation of Liability

Neura and its affiliates shall not be liable for:

• Indirect, incidental, or consequential damages (e.g., data loss, business interruption).
• Damages arising from misuse, unauthorized access, or third-party actions.

10. Termination

Neura may terminate or suspend your access to the App at any time, with or without cause. Upon termination:

• Your license to use the App is revoked.
• Sections of this Agreement surviving termination (e.g., liability, intellectual property) remain enforceable.

11. Third-Party Services

The App may link to third-party services (e.g., social media, payment gateways). Neura is not responsible for their content, privacy practices, or availability.

12. Indemnification

You agree to indemnify Neura against claims, losses, or damages arising from:

• Your breach of this Agreement.
• Illegal use of the App.
• Violation of third-party rights (e.g., copyright infringement).

13. Modifications

Neura may update this Agreement periodically. Continued use after changes constitutes acceptance. Material updates will be notified via email or in-App alerts.

14. Governing Law & Dispute Resolution

This Agreement is governed by the laws of United States. Any disputes shall be resolved through binding arbitration in California.

15. Entire Agreement

This Agreement supersedes prior agreements and constitutes the complete understanding between you and Neura regarding the App.

16. Severability

If any provision is deemed unenforceable, the remaining terms remain valid.

17. Waiver

Failure to enforce a provision does not waive Neura’s right to enforce it later.
